Managing Board Roles and ResponsibilitiesThe purpose of a Board is hold ultimate responsibility, legally and ethically for the performance of the organisation or corporation for which the Board was established. The Board, legally, is responsible for every aspect of operation of the organisation. This is a monumental task, so the Board delegates responsibility for operations to a management team and it concentrates on long term issues. The Board creates Governance Policies to provide a framework for ethical and effective decision making, action and resource allocation to maximize the performance of their fiduciary responsibilities.

The core issue in Governance is to ensure that the interest of the stakeholders are always protected and promoted. This is the core responsibility of a Board. The interests of these stakeholders and those of management are not always aligned and it is the responsibility of the Board to ensure the stakeholders concerns take precedence.
